1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (either as an individual or on behalf of an entity) and Givance, Inc. ("Givance," "we," "us," or "our") concerning your access to and use of the Givance platform and related services (collectively, the "Services").

BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICES.

2. Services Description

Givance provides an AI-native litigation intelligence platform that offers:

  • Automated exhibit list comparison and Bates reconciliation
  • Document hyperlinking and citation management
  • Creation of trial-ready timelines and demonstrative evidence
  • AI-powered document analysis and insight generation
  • Custom AI system development and on-premises deployment options
  • Other related litigation support services

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use our Services. By using the Services, you represent and warrant that you meet these requirements.

If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

4. Account Registration and Security

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the security of your password and account
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

You are prohibited from sharing your account credentials or allowing others to access your account.

5. Acceptable Use Policy

You agree NOT to:

  • Use the Services for any illegal purpose or in violation of any laws
  • Upload malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Reverse engineer, decompile, or disassemble the Services
  • Use automated systems (bots, scrapers) without permission
  • Interfere with or disrupt the Services or servers
  • Remove, alter, or obscure any proprietary notices
  • Use the Services to compete with Givance or create similar products
  • Violate any third-party rights, including intellectual property rights
  • Upload content you don't have rights to use

6. Your Content and Data

6.1 Your Ownership

You retain all ownership rights to the documents, data, and content you upload to the Services ("Your Content"). We do not claim any ownership over Your Content.

6.2 License to Us

By uploading Your Content, you grant us a limited, non-exclusive, royalty-free license to use, store, process, and display Your Content solely to provide the Services to you. This license terminates when you delete Your Content or close your account.

6.3 Your Responsibilities

You represent and warrant that:

  • You have all necessary rights to upload and use Your Content
  • Your Content does not violate any laws or third-party rights
  • You have obtained all necessary client consents and comply with ethical obligations
  • Your Content does not contain confidential information of non-clients without authorization

7. Intellectual Property Rights

The Services, including all software, algorithms, AI models, features, and content provided by Givance, are owned by us and protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services solely for your internal business purposes during your subscription period.

Generated Output: You own the output generated by our AI tools based on Your Content (e.g., timelines, exhibits, analyses), but we retain all rights to the underlying AI models, algorithms, and technology used to generate such output.

8. AI Services and Limitations

8.1 Nature of AI Services

Our Services use artificial intelligence and machine learning technologies. You acknowledge that:

  • AI-generated outputs may contain errors, inaccuracies, or incomplete information
  • AI systems may produce different results for similar inputs
  • You must review and verify all AI-generated content before use
  • AI suggestions do not constitute legal advice

8.2 No Legal Advice

Givance is a technology platform, not a law firm. The Services do not constitute legal advice, and use of the Services does not create an attorney-client relationship. You should consult with licensed attorneys for legal advice.

9. Payment Terms

9.1 Fees

You agree to pay all fees according to the pricing plan you select. Fees are non-refundable except as required by law or expressly stated in your subscription agreement.

9.2 Automatic Renewal

Subscriptions automatically renew unless you cancel before the renewal date. We will charge your payment method on file for the renewal term.

9.3 Price Changes

We may change our prices with 30 days' notice. Price changes will not affect your current subscription period but will apply upon renewal.

10. Confidentiality

We understand the sensitive nature of legal work. We agree to:

  • Treat Your Content as confidential information
  • Not disclose Your Content to third parties except as necessary to provide Services or as required by law
  • Implement reasonable security measures to protect Your Content
  • Not use Your Content for any purpose other than providing Services to you

11. Warranties and Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • That the Services will be uninterrupted, error-free, or secure
  • That results obtained from the Services will be accurate or reliable
  • That defects will be corrected

We do not warrant that the Services will meet your requirements or that AI-generated outputs will be error-free or suitable for litigation use without human review.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GIVANCE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages arising from use or inability to use the Services
  • Errors or inaccuracies in AI-generated content
  • Unauthorized access to or alteration of your transmissions or data

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Givance and its affiliates from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from: (a) your use of the Services; (b) Your Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

14. Term and Termination

14.1 Term

These Terms remain in effect while you use the Services.

14.2 Termination by You

You may cancel your subscription at any time through your account settings or by contacting us.

14.3 Termination by Us

We may suspend or terminate your access immediately if you violate these Terms or for any other reason at our discretion, with or without notice.

14.4 Effect of Termination

Upon termination, your right to use the Services ceases immediately. You may download Your Content within 30 days of termination, after which we may delete it. Sections that by their nature should survive termination will survive.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before filing a claim, you agree to contact us at founders@givance.ai to attempt to resolve the dispute informally.

15.2 Binding Arbitration

If informal resolution fails, any dispute shall be resolved by binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall be conducted in the jurisdiction where Givance's principal office is located.

15.3 Class Action Waiver

You agree to resolve disputes on an individual basis only, and not as part of any class, consolidated, or representative action.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the Services. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

18. Miscellaneous

  • Entire Agreement: These Terms constitute the entire agreement between you and Givance regarding the Services
  • Severability: If any provision is found unenforceable, the remaining provisions will remain in effect
  • Waiver: No waiver of any term shall be deemed a continuing waiver
  • Assignment: You may not assign these Terms without our consent. We may assign these Terms without restriction
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control
